1. About Nuvirtus
Nuvirtus LLC (“Nuvirtus,” “we,” “us,” or “our”) is a Delaware limited liability company with its registered office at 16192 Coastal Highway, Lewes, Delaware 19958, USA. We operate an online vacation rental marketplace at nuvirtus.com (the “Platform”) that connects independent property owners (“Hosts”) with travelers (“Guests”).
Nuvirtus is a booking facilitator only. We are not a property manager, real estate broker, insurer, or party to any rental agreement between a Host and a Guest. The rental contract is formed directly between Host and Guest upon booking confirmation.
2. Acceptance of Terms
By accessing or using the Platform — whether as a Host, Guest, or visitor — you agree to be bound by these Terms and Conditions (“Terms”) and our Privacy Policy. If you do not agree, do not use the Platform.
These Terms may be updated from time to time. Continued use of the Platform after any update constitutes acceptance of the revised Terms.
3. Accounts
You must be at least 18 years old to create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Nuvirtus reserves the right to suspend or terminate accounts that violate these Terms.
4. Bookings and Payments
When a Guest submits a booking request and a Host accepts (or when instant booking is enabled), a binding reservation is created directly between Host and Guest. Nuvirtus processes payment on behalf of the Host at the time of booking confirmation.
Payments are processed securely by our payment partner (Stripe). By providing payment details, you authorize Nuvirtus to charge the total amount shown at checkout, which includes the nightly rate, applicable fees, applicable taxes, and any cleaning fee specified by the Host.
Off-platform transactions are strictly prohibited. Any attempt to arrange payments outside the Platform will result in account suspension.
5. Cancellation and Refund Policies
Each property is listed under one of the following cancellation policies, clearly indicated on the listing page:
- Flexible: Full refund if cancelled at least 24 hours before check-in. No refund for cancellations within 24 hours of check-in.
- Moderate: Full refund if cancelled at least 5 days before check-in. No refund for later cancellations.
- Firm: Full refund if cancelled at least 7 days before check-in. 50% refund if cancelled between 7 and 1 day before check-in. No refund within 24 hours of check-in.
- Strict: Full refund only if cancelled at least 14 days before check-in. No refund for later cancellations.
In the event of cancellation due to force majeure (natural disaster, war, government-mandated travel restrictions, or other extraordinary circumstances beyond either party’s control), Nuvirtus may, at its discretion, offer credits, date changes, or refunds in accordance with applicable law.
Host-initiated cancellations will result in a full refund to the Guest and may result in penalties for the Host including account suspension.
6. Guest Responsibilities
Guests agree to:
- Respect the maximum occupancy limit stated in the listing.
- Comply with house rules established by the Host (noise levels, no-smoking policies, pet restrictions, etc.).
- Honour check-in and check-out times.
- Leave the property in a clean and orderly condition.
- Report any pre-existing damage to the Host at check-in.
- Use the property solely for residential/vacation purposes and not for commercial, subletting, or illegal activities.
7. Host Responsibilities
Hosts agree to:
- Ensure all listing information (photos, description, amenities, location, pricing) is accurate and up to date.
- Maintain the property in a clean, safe, and habitable condition consistent with the listing.
- Honour confirmed reservations. Cancellations initiated by Hosts are subject to penalties.
- Obtain and maintain all permits, licenses, and authorizations required by local law for vacation rental activity. Nuvirtus does not assume responsibility for regulatory compliance of individual properties.
- Remit and comply with all applicable local taxes (tourist taxes, VAT, etc.) as required by the jurisdiction where the property is located.
8. Security Deposits and Damage
Some Hosts may require a security deposit, as indicated on the listing page. Deposits are collected at or after check-in and released within 5 business days of check-out provided no damage claim is filed. If the Host files a damage claim within 48 hours of check-out, Nuvirtus will mediate the dispute. Guests may be charged for documented damage up to the security deposit amount. Damage exceeding the deposit may be pursued through separate legal channels.
9. Prohibited Activities
Users may not:
- Provide false or misleading information on the Platform.
- Attempt to circumvent Nuvirtus fees or arrange off-platform transactions.
- Use the Platform for any unlawful purpose.
- Harass, threaten, or discriminate against other users.
- Post fraudulent, defamatory, or misleading reviews.
- Scrape, copy, or otherwise reproduce Platform content without authorization.
- Interfere with the technical operation of the Platform.
Violation of these prohibitions may result in immediate account termination and legal action.
10. Limitation of Liability
To the maximum extent permitted by applicable law:
- Nuvirtus is not liable for the accuracy of any listing, the conduct of Hosts or Guests, property conditions, personal injury, theft, or any other damages arising from a rental stay.
- Nuvirtus’s total liability to any user for any claim arising from use of the Platform shall not exceed the total amount paid by that user for the booking giving rise to the claim.
- Nuvirtus shall not be liable for indirect, incidental, special, consequential, or punitive damages.
The Platform is provided “as is.” Nuvirtus makes no warranties, express or implied, regarding the Platform, listings, or any services facilitated through it.
11. Intellectual Property
All content on the Platform (including logos, text, graphics, and software) is the property of Nuvirtus LLC or its licensors. By posting content (photos, descriptions, reviews), you grant Nuvirtus a non-exclusive, royalty-free, worldwide license to use, display, and distribute that content in connection with operating the Platform.
12. Dispute Resolution
In the event of a dispute between a Guest and a Host, Nuvirtus will provide a mediation service to help resolve the matter, but is not obligated to arbitrate or adjudicate disputes. For disputes between a user and Nuvirtus, the parties agree to first attempt resolution by contacting support@nuvirtus.com. If not resolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles. Any legal proceedings not subject to arbitration shall be brought exclusively in the courts of Delaware.
14. Miscellaneous
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force. These Terms constitute the entire agreement between you and Nuvirtus regarding use of the Platform. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
